Terms of Service

ANYSHIFT SAS – TERMS OF SERVICE AND SALE

1 Definitions

Client The business entity buying the Service.
Service The Anyshift SaaS platform and the AI assistant Annie running inside Slack.
Order The document that describes the selected offer, options, prices and term.
Client Data All information uploaded to or generated in the Service by the Client.

2 Purpose

These terms govern every professional access to and use of the Service. They prevail over any conflicting purchase order or procurement portal terms supplied by the Client.

3 Service description

• Conversational assistant for engineering, infra and SRE teams.
• Read-only connections to authorised tools and clouds unless written consent grants broader rights.
• Answers built on a real-time knowledge graph continuously enriched from those sources.
• Standard support : Monday-Friday 09 00-18 00 Paris time except French public holidays.
• Planned maintenance is carried out outside support hours whenever feasible; emergencies may occur without notice.
The exact scope, seats and message quotas are stated in the Order.

4 Account creation and security

The Client designates an administrator who invites named Users. Credentials are personal and must remain confidential. The Client is fully liable for every action taken with its accounts and must notify Anyshift of any loss, breach or misuse without delay.

5 Trial period

A single fourteen-day free trial is available per Client. No fees apply during the trial. Continued use after the trial requires a signed Order; otherwise access stops automatically and trial data is deleted within thirty days.

6 Pricing and payment

  1. Prices in the Order are exclusive of VAT and other taxes.

  2. Subscription fees are invoiced monthly in advance and payable within thirty calendar days of invoice date.

  3. If payment remains overdue ten days after a written reminder, Anyshift may suspend access until full settlement.

  4. Anyshift may revise fees with ninety days’ email notice. Continued use after that notice constitutes acceptance; otherwise the Client may terminate with effect on the revision date.

7 Client obligations and acceptable use

• Use the Service only for lawful business purposes and in compliance with export, data-protection and security laws.
• Do not probe, scan, reverse-engineer or attempt to gain unauthorised access to the Service or its code.
• Do not copy, resell, sublicense or create competing products with knowledge obtained from the Service.
• Do not upload content that is illegal, harmful, infringing or that violates the privacy of others.
• Stay within any technical quotas set out in the Order; excessive usage may be throttled or billed at prevailing rates.

8 Intellectual property

Anyshift retains all intellectual property rights in the platform, models, documentation and knowledge graph. The Client receives a non-exclusive, non-transferable, worldwide licence to use the Service during the contract. The Client owns its Data and grants Anyshift a limited licence to process it solely to provide and improve the Service.

9 Data protection and confidentiality

• Client Data is never used to train third-party foundation models; external LLM providers operate under contracts that forbid such training.
• Sub-processors are bound by written agreements offering a level of protection at least equivalent to these terms; the current list is available on request.
• Each party must keep Confidential Information secret for two years after contract end, except where disclosure is required by law.

10 Warranties and liability

The Service is supplied “as is”. Anyshift uses commercially reasonable efforts to deliver the availability target and to secure the Service, yet makes no absolute guarantee of uninterrupted or error-free performance.
Anyshift’s aggregate liability for all claims in any rolling twelve-month period is limited to the amounts actually paid by the Client during that period. Neither party is liable for indirect or consequential damages, loss of profit, revenue, data, goodwill or business interruption, except for wilful misconduct, gross negligence, or breaches of confidentiality or data-protection obligations.

11 Term and termination

The contract begins on the Order’s effective date and continues for the committed term, renewing as specified therein. Either party may terminate for material breach if the breach is not cured within thirty days of written notice.
On termination or expiry
• access ceases immediately,
• all outstanding fees become due,
• Client Data is returned or deleted within thirty days if the Client so requests in writing.

12 Suspension

Anyshift may suspend access without liability
• to deal with a serious security threat,
• to comply with law or the request of a competent authority,
• if the Client or its Users violate Section 7,
provided that Anyshift gives prompt notice and lifts the suspension once the issue is resolved.

13 Force majeure

Neither party is liable for failure to perform caused by events outside reasonable control, including but not limited to power outages, network failures, strikes external to the affected party, pandemics or natural disasters. If such an event lasts more than thirty consecutive days, either party may terminate with immediate effect by written notice.

14 Governing law and dispute resolution

French law governs these terms. The parties will attempt in good faith to resolve any dispute within sixty days. Failing settlement, the Commercial Court of Nanterre has exclusive jurisdiction, even in cases of multiple defendants or summary proceedings.

15 Miscellaneous

• If any provision is held invalid, the remaining clauses stay in force.
• No delay or omission in exercising a right operates as a waiver.
• Neither party may assign the contract without the other’s written consent, except that Anyshift may assign to an affiliate or in connection with a merger or sale of its business.

Using the Service confirms that the Client has read, understood and accepted all the above conditions.
